MINUTES OF ANNUAL GENERAL MEETING IN KELTY HEARTS FOOTBALL CLUB LTD
The Board of Directors held the Annual General Meeting in KELTY HEARTS FOOTBALL CLUB LTD (the “Company”) on 28 July 2024 at 10.00am, New Central Park, Bath Street, Kelty KY4 0AG.
The Acting Chairman opened the Annual General Meeting and made a registration of the attendees as follows: George McTrusty, Stuart Mill, Garry Grandison and Craig Reynolds.
- Annual Report and Financial Statement of the Company: The Annual General Meeting approved the 2023 Annual Report and financial statements. The 2023 Annual Report and financial statements are accessible on Companies House website.
- Election of the Board of Directors: The Annual General Meeting approved the election of the following Board of Director positions, for the duration of one year:
o George McTrusty – Chairman
o Stuart Mill – Vice Chairman & Company Secretary
o Stefan Winiarski – Managing Director
o Gerard Brady – Finance Director
o Garry Grandison – Club Secretary & Wellbeing Officer o Craig Reynolds – Sporting Director
o John Dignan – Commercial Director
The Board of Directors agreed to recognize the contribution made by former Chairman Thomas Rowley, over his tenure with Kelty Hearts Football Club.
- Appointment of independent examiner of the Company’s accounts: The Annual General Meeting approved the appointment of Haines Watts Scotland, Business Advisors, Accountants and Statutory Auditors, Q Court, 3 Quality Street, Edinburgh, EH4 5BP.
- Any other business submitted in writing not less than seven days before the meeting and printed on the Agenda: There being no further business, the Annual General Meeting closed at 10.30am.
